These Terms & Conditions ("Terms") govern your use of the PathDrop software application and the website at pathdrop.ca (together, the "Service"), operated by PathDrop ("we", "us"). By downloading, installing, or using the Service you agree to these Terms. If you do not agree, do not use the Service.

1. What PathDrop does

PathDrop is a desktop utility that converts cloud-drive file paths into links that open in your local Finder or File Explorer. Rendering and link generation happen on your own machine. The only data sent to our servers is anonymous usage telemetry (machine ID, app version, platform, email domain) used for licensing and product analytics.

2. License

Subject to these Terms and payment of applicable fees, we grant you a non-exclusive, non-transferable, revocable license to install and use PathDrop on devices you own or control, for internal business or personal use.

Receiving PathDrop links is always free. Sending links beyond the free-tier limit requires a paid license. Paid licenses are sold on a one-time basis per company domain and cover the user limits stated at checkout.

3. Restrictions

You may not: (a) resell, sublicense, or redistribute PathDrop; (b) reverse engineer, decompile, or tamper with the application except as permitted by applicable law; (c) use PathDrop to violate any law or the rights of others; (d) remove or alter any copyright or attribution notices.

4. Payments and refunds

Payments are processed by our merchant of record, Lemon Squeezy. By purchasing, you also agree to Lemon Squeezy's terms. All fees are in the currency stated at checkout and are non-refundable except where required by law or stated in our refund policy. Contact contact@pathdrop.ca within 14 days of purchase to request a refund; we will consider requests in good faith.

5. Updates

We may release updates to PathDrop from time to time. Major-version upgrades (for example, v2) may be offered as a paid upgrade. Your existing license continues to work at the version you bought.

6. Disclaimers

PathDrop is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

7. Limitation of liability

To the maximum extent permitted by law, our total liability arising out of or relating to the Service will not exceed the amount you paid us in the twelve months before the event giving rise to liability. We are not liable for indirect, incidental, special, consequential, or punitive damages, or lost profits or data.

8. Termination

We may suspend or terminate your access to the Service if you breach these Terms. You may stop using the Service at any time by uninstalling PathDrop.

9. Governing law

These Terms are governed by the laws of the Province of Quebec, Canada, without regard to conflict-of-laws rules. Disputes will be resolved in the courts located in Montreal, Quebec.

10. Changes

We may update these Terms. Material changes will be posted here with an updated "Last updated" date. Continued use of the Service after changes take effect constitutes acceptance.
